$149 a Quarter Is About $596 a Year. Do the Multiplication First.

Bundling agent service into that experience is a reasonable product decision, and for a founder who wants one company handling the whole launch, the convenience is real.

The Structural Problem Is a Unit of Time

Swyft sets its registered agent price at $149 for each quarter. Not for each year. Each quarter, four times over, which annualizes to roughly $596. We found no first-year discount attached to soften the opening twelve months.

Everything about that structure is legal and disclosed. The issue is comparison. Every other price in this category is quoted annually, so when $149 sits on a page next to a competitor's $149, the eye reads a tie and the wallet pays four times as much. Quarterly billing has one reliable effect: the annual figure never appears on the screen where you make the decision.

So run the multiplication before you compare anything. Four invoices, $149 each. Roughly $596 against our $99, for the identical statutory duty, which in Minnesota means keeping an office at the registered address and delivering what arrives there.

Who This Hits Hardest in Minnesota

Out-of-state companies, mostly, and it is worth explaining why. A Minnesota-formed LLC has an escape hatch nobody advertises: the state allows it to operate with no registered agent named at all, provided it maintains a registered office at a real Minnesota street address. A company registered here from another state has no such option. It must designate a Minnesota agent, and it must keep that designation current, because Minn. Stat. § 322C.0806 is the provision under which a foreign LLC's authority to do business in Minnesota gets revoked when its obligations lapse.

Paperwork first. Minnesota's change instrument is titled Notice of Change of Registered Office/Registered Agent, and Business Services at the Secretary of State takes delivery. Domestic entities pay $35 for the mailed version or $55 for the electronic and counter versions, that gap reflecting the state's expedited channels rather than any surcharge on going digital. Foreign corporations sit on a separate line of the same schedule at $50 and $70.

Because a quarterly subscription creates a natural stopping point every ninety days, there is a temptation to cancel at the boundary and file with the state afterward. Do it the other way. Put the incoming agent under contract, file the notice naming them, and let the state record update before you stop the Swyft billing. Until the Secretary of State processes the change, Swyft is still your registered agent on paper, and a lawsuit does not care which invoices you have stopped paying.
